USER AGREEMENT FOR THE USAGE OF “ZODIER-BOT”

This User Agreement is an agreement between you and Noirix with regards to the usage of “Zodier-Bot” and respective services provided to you by Noirix. If you are located in Belarus, Russia or Ukraine all the services in accordance with this user agreement will be provided by the following legal entity: NOIRIX LIMITED LIABILITY COMPANY, registered in the Republic of Belarus, with the registration number 692149027 and located at: Belarus, 220005, Minsk, pr. Nezavisimosti, 39, unit 2H, office 80. If you are located in US, United Kingdom or any European Union Member state all the services in accordance with this user agreement will be provided by the following legal entity: NOIRIX TECHNOLOGIES LTD, company number: 13096973, VAT number: 370599565, company address: 7 Bell Yard, London, United Kingdom, WC2A 2JR.
Terms and Definitions
Licensor, Company, we, us - the copyright holder of the Software product “Zodier-bot” Noirix Technologies LTD including any other affiliated legal entities and subsidiaries.
Licensee, User, you - an individual over the age of 18 who applied for a license to use the Zodier-bot Software product on the terms specified in this User Agreement. By concluding this agreement, the User confirms that he meets the full requirements of the legislation of his/her citizenship and this User Agreement, and has the right to independently act as a party to this agreement.
Software product “Zodier-bot”, bot, Zodier-bot, Zodier, service, program - a computer program created by Noirix LLC and integrated into instant messaging platforms Telegram using Telegram Bot API , Viber using Viber Bot API, Facebook using Facebook API, Instagram using Instagram API and VK using API for Chatbots . Zodier is a social service for dating and communication. The bot can introduce people who are looking for communication partners based on common interests or matching.
License type - the scope of rights selected by the Licensee and provided by the Licensor in accordance with the Tariffs.
Likes - virtual items that provide additional conditions for providing access to the Service. The number of likes determines the amount of rights granted to the User under the relevant Tariff (license rights volume).
Tariffs - the cost of a certain type of license approved by the Licensor.
Boost - user profile promotion and an additional service provided to the Licensee within the selected Tariff.
1. General provisions
1.1. This User Agreement (hereinafter referred to as the Agreement) defines the general conditions for using the “Zodier-bot” computer program in Telegram, Viber, Facebook, Instagram and VK messengers on the Internet via the hyperlink: @zodierbot, zodier_dating, zodier-dating, zodier_bot or @zodier_bot, as well as the rights and obligations of the User and the Licensor.
1.2. This Agreement is an agreement between the User and the Licensor regarding the procedure for using Zodier-bot and related (additional) services and replaces all previous agreements that have taken place or could have taken place between the User and the Licensor, regardless of the form in which such agreements were agreed on.
1.3. The Licensor grants access to the use of Zodier-bot on paid basis in accordance with the Tariffs. The rates of Tariffs can be found on the page https://zodier.io/ru/pricing or https://zodier.com/pricing.html. Using Zodier-bot free of charge is allowed in cases determined by the Licensor. The Licensor has the right to introduce and (or) establish any restrictions in terms of the functionality of Zodier-bot, which is used free of charge.
1.4. This Agreement is a legally binding agreement between the User and the Licensor, the subject of which is the provision by the Licensor to the User of the right to use under the terms of a simple (non-exclusive) Zodier-bot license in accordance with its functionality, to the extent specified by the Licensor, as well as the provision of other related services (additional services). In addition to this Agreement, the agreement between the User and the Licensor includes all other documents governing the provision of the Services and published in the appropriate sections of a web-site with domain name “zodier.io” or “zodier.com”.
1.5. The user is obliged to fully familiarize himself with this Agreement before the start of using Zodier-bot, as well as with the Tariffs for the provision of a license.
1.6. This Agreement may be amended and (or) supplemented by the Licensor unilaterally without any special notification to the User. This Agreement is a public document. The user is obliged to regularly check the terms of this Agreement for changes and (or) additions. The continuous use of Zodier-bot by the User after the implementation of changes and (or) additions to this Agreement means acceptance and consent of the User with all such changes and (or) additions.
1.7. Nothing in this Agreement gives the User the rights to use the brand name, trademarks, domain names and results of intellectual activity used in Zodier-bot. All rights to the elements of Zodier-bot (including objects constituting intellectual property) belong to the Licensor and cannot be used in a way other than that specified in this Agreement.
1.8. If you continue the use Zodier-bot after going to one of the links specified in the p. 1.1 of the Agreement, by clicking the “start” button (or equivalent) or by writing a message to the bot “/ start”, you agree to this Agreement and the Tariffs of Zodier-bot and respective rights and obligations specified therein related to the use and operation of Zodier-bot.
2. Subject-matter
2.1. The Licensor grants the Licensee the right to use (simple (non-exclusive) license) the Program within its functionality by reproducing the program (connecting to the Program via the Internet and Telegram, Viber, Facebook Messenger, Instagram or VK), exclusively for the Licensee's independent use without the right to sublicense to third parties.
2.2. This Agreement is valid from the moment you start using the Program after you have switched to Telegram at @zodier_bot, Viber at zodier-dating, VK at https://vk.com/zodier_bot, Facebook Messenger at https://www.facebook.com/zodierbot, or Instagram at https://www.instagram.com/zodier_dating, by clicking the “start” button (or equivalent) or by writing a message to the bot “/start” and is valid throughout the entire period of its lawful use by the Licensee in within the term of copyright to it, provided that the Licensee properly observes the terms of this Agreement.
2.3. The Licensor grants the Licensee the right to use the Program without restrictions on the territory in the manner and on the conditions provided for by this Agreement.
2.4. The amount, procedure and conditions for payment by the Licensee of the remuneration for the use of the Program are established by the Licensor in the Tariffs, available at https://zodier.io/ru/pricing or https://zodier.com/pricing.html.
2.5. The right to use the program is considered granted to the Licensee, and the Licensor's obligations to grant the right to use the program are fulfilled after going to the address: @zodier_bot in Telegram, zodier-dating in Viber, https://www.facebook.com/zodierbot, https://www.instagram.com/zodier_dating or https://vk.com/zodier_bot and clicking the “start” button (or equivalent) or by writing a message to the bot “/start”.
2.6. The term for granting a license will be determined by the selected type of license in accordance with the Tariffs.
3. Copyright
3.1. The program is the result of intellectual activity and is subject to copyright. Exclusive rights to the Program belong to the Licensor and are protected by copyright, law on trademarks and other laws governing intellectual property and unfair competition.
3.2. The algorithms of the Program and its source codes (including their parts) are a commercial secret of the Licensor. Any use of the Program in violation of the terms of this Agreement is considered a violation of the rights of the Licensor and is a sufficient reason to deprive the User of the rights granted under this Agreement.
3.3. This Agreement does not grant the Licensee the right to own the Program and its components, but only the right to use the Program and its components in accordance with the terms provided by this Agreement.
3.4. The Licensee is not entitled to copy, distribute the Program and its components in any form, including in the form of source code, or in any other way, including renting or free use.
3.5. The Licensee is not entitled to use the Program in any way if such use is contrary to this Agreement or leads to a violation of this Agreement.
3.6. Liability for copyright infringement is provided by the legislation of the United Kingdom.
4.Types of licenses
4.1. The Licensee has the right to use the Program without payment of remuneration under the license for review (trial version) for a limited period of time determined by the terms (Tariffs) in force at the time of joining this Agreement, established by the Licensor and published in the Internet via: https://zodier.io/ru/pricing or https://zodier.com/pricing.html.
4.2. The Licensee has the right to independently choose the appropriate License Type from the list posted by the Licensor on the Internet on the page: https://zodier.io/ru/pricing or https://zodier.com/pricing.html.
4.3. The choice of the appropriate license is confirmed by the Licensee by paying the cost of the relevant Tariff.
4.4. Payment is made by transferring funds to the Licensor's account through payment systems, including but not limited to the bePaid payment system (https://bepaid.by/), Stripe (https://stripe.com/), Paymentwall (https://www.paymentwall.com/ ). All used payment systems meet all data transfer and information security requirements. All confidential data are stored encrypted and maximally resistant to hacking. Access to authorization pages is carried out using a protocol that ensures secure data transmission over the Internet (SSL/TLS).
4.5. To pay for the selected License Type, the Licensee clicks the “Buy” button on the Licensor's website, and then goes to the page for paying in the payment system service.
4.6. Payments are accepted by the following bank cards: Visa, Visa Electron, MasterCard, Maestro, Belkart, American Express, China UnionPay (CUP), Discover & Diners, Japan Credit Bureau (JCB), Cartes Bancaires, Interac. Availability of the payment options depends on the payment system, chosen by you, and applicable rules of the respective payment system. We do not guarantee availability of any of the payment options indicated above and do not assume any liability for their malperformance.
4.7. The Licensee has the right to change or purchase the License Type at any time during the entire validity period of the license determined by the selected Tariff. At the same time, early change of the license type is allowed only in the direction of increasing the granted rights.
4.8. The validity period of the paid but unused license (of the current Type) will be extended by the period of the purchased license (of the new Type), taking into account the tariff cost of the new license.
4.9. Recalculation of the cost and refund of the fee paid in accordance with this Agreement when purchasing a license of a new Type is made in accordance with the Refund Policy, available at: https://zodier.com/refund-policy.html or https://zodier.io/ru/refund-policy.
4.10. Upon the expiration of the purchased license, the Licensee can continue to use the Program only within the trial version under clause 4.1. present agreement.
4.11. The Licensor has the right to unilaterally change the Types of Licenses by posting a new list of them on the Internet via https://zodier.io/pricing and https://zodier.com/pricing.html. Changed License Types in this order are applied starting from the date of publication of the respective (changed) information about License Types on the above page on the Internet. Changing the Types of Licenses in the specified order is not a basis for making additional payments under contracts concluded before the date the Licensor published the information on changing the Types of License.
5.Rights and responsibilities
5.1. The User undertakes to use the Program in accordance with the rules of use published on the Licensor's website (zodier.com or zodier.io).
5.2. By using the Program, the User consents to the collection, processing, storage and use of personal data provided by him when he first connected to the Program. The procedure for using the User's personal data, the rights and obligations of the Parties are determined by the Privacy Policy published on the Licensor's website.
5.3. By entering into this Agreement, the Licensee confirms that the information provided by him is true and current. By getting the program, the Licensee agrees to use his name (nickname), photos and other information from the Telegram, Viber, Facebook, Instagram or VK services within the program functionality in accordance with Privacy Policy.
5.4. The User does not have the right to use the Program on behalf of or instead of another person, except for the case when the User has the necessary powers formalized in the manner prescribed by the applicable law, which allow him to act on behalf of a third party.
5.5. The user is responsible for the accuracy, relevance, completeness and compliance with the applicable legislation of the information provided during registration and its clearance from third-party claims. If the User provides incorrect information, or if the Licensor has reason to believe that the information provided by the User is incomplete or unreliable, the Licensor has the right to restrict the Licensee's access to the Program and (or) temporarily or irrevocably revoke the issued license, as well as prohibit the Licensee from using the Program in the future.
5.6. The Licensor is not responsible for the violation by the User of this Agreement and reserves the right, at its discretion, as well as upon receipt of information from other Users or third parties about the violation by the User of this Agreement, to change (moderate) and (or) delete any information published by the User that violates the prohibitions established by this Agreement, to suspend, restrict or terminate the User's access to the Program at any time for any reason without explanation, with or without prior notice, without being responsible for any harm that may be caused to the User by such actions.
5.7. If the User disagrees with this Agreement or with its amendment carried out in the manner provided for in this Agreement, the User is obliged not to use the Program.
5.8. In case of cancellation of this Agreement (termination of use) and (or) revocation of the license and (or) any other early termination, the paid license fee will not be returned. Other cases of return are described in the Refund Policy, which is part of the Agreement.
5.9. The Licensor reserves the right at any time to change the design in Zodier-bot, its content, the list of services, change or supplement the scripts used, software and other objects used or stored in Zodier-bot, with or without prior notice to the User.
5.10. The Licensor has the right to send the User information about the development of Zodier-bot and its services, as well as advertise its own activities and services, as well as place advertisements of third parties.
6. Usage restrictions
6.1. The user is not entitled to take actions that may entail:
6.1.1. Disruption of the Program or limitation of the ability of other Users to use the Program;
6.1.2. Unauthorized access to the Program, as well as to the information and computing and network resources of the Licensor;
6.1.3. Causing or threatening damage to third parties, including by posting information and links to network resources, the content of which is contrary to the applicable legislation.
6.2. The User has no right to modify the Program, design and appearance.
6.3. The User guarantees that he has all the necessary rights to all data, computer programs or services that are used by him in connection with the usage of the Program, and that such actions do not violate the rights and freedoms of third parties.
6.4. The User has no right to use the Program in any other way than those specified in this Agreement, as well as to copy, sell and resell it or the access to it.
7. Liability
7.1. The Zodier-bot software and its services, including all scripts, applications, content and design, are provided on an “as is” basis. The Licensor does not guarantee that all the functionality of the Program will meet the expectations of the Licensee and will be applicable for its specific purpose. The Licensor also disclaims all warranties that Zodier-bot or services may or may not be suitable for the specific purposes of the User. The licensor cannot guarantee and does not promise any specific results from the use of Zodier-bot and (or) services.
7.2. The Licensor does not initiate or control the placement by the User of any information in the process of using the Program and services, does not affect its content and integrity, and at the time of posting this information does not know and cannot know whether it violates the legally protected rights and interests of third parties, international treaties and applicable legislation.
7.3. The Licensee is directly responsible for the content of the information created and maintained by the Licensee. The Licensor does not exercise preliminary control over the content of the information posted and (or) distributed by the Licensee, however, if the placement and distribution of such information contradicts the applicable legislation, the Licensor has the right to block or delete the relevant information and (or) restrict the access of such User and their information without any preliminary warning.
7.4. Under no circumstances will the Licensor be liable towards the User or towards any third parties for any indirect, accidental, unintentional damage, including lost profits or lost data, damage to dignity or business reputation arising in connection with the use of the Program, the contents of the Program or other materials to which the User or other persons gained access using the Program, even if the User warned or indicated the possibility of such harm.
7.5. In the event that the Licensee commits actions prohibited by the provisions of this Agreement, the Licensor has the right to take measures to identify and prevent these violations without giving any reasons or any prior notice to the Licensee.
8. Scope of this Agreement
8.1. This Agreement enters into force for the User from the moment of his accession to it and is valid for an indefinite period of time.
8.2. This Agreement applies to all updates to the Program provided to the Licensee, unless, when updating the Program, it is proposed to review and accept the new Agreement or amendments to this Agreement.
8.3. The Licensor has the right to change the terms of this Agreement unilaterally by posting the amended text in the appropriate sections of a web-site with domain name “zodier.io” or “zodier.com”.
8.4. If, for any reason, one or more of the provisions of this Agreement are duly found to be invalid or unenforceable, this does not affect the validity or applicability of the remaining provisions of this Agreement.
8.5. In the event of any disputes or disagreements related to the execution of this Agreement, the User and the Licensor will make every effort to resolve them through negotiations. If disputes are not resolved through negotiations, disputes are subject to resolution in the manner prescribed by the applicable legislation, at the location of the seat of the Licensor.
8.6. The Licensor has the right to unilaterally terminate this Agreement if the User violates the terms of this Agreement on the use of the Program.
8.7. Upon termination of this Agreement by any party and for any reason, the Licensee must completely stop using the Program.
